Fabryka Amunicji Pocisk S.A. is a company carrying out a project to build a modern 40-mm ammunition manufacturing plant in Poland. The project is being developed in collaboration with ST Engineering Advanced Material Engineering Pte. Ltd., based in Singapore—an international partner with expertise in ammunition technology and production.
 
The company is currently carrying out preparatory work related to the launch of production operations, including , among other things, the development of the technological, organizational, and infrastructural capabilities necessary to begin mass production.
 
The planned investment involves the construction of a modern production facility that meets European quality and safety standards, with a target production capacity tailored to the needs of both the domestic market and foreign customers. The project is part of efforts to develop the country’s defense industry potential and strengthen the security of ammunition supplies on the European market.

Marcin Krajewski

Chairman of the Board of Directors

Mr. Marcin Krajewski holds a Master of Engineering degree (Military University of Technology, majoring in Mechatronics). In addition, Mr. Marcin Krajewski completed postgraduate studies in Criminology with Elements of Detective Work (Collegium Civitas) and in Blockchain: Business, Law, Technology (Warsaw School of Economics). From 2005 to 2007, Mr. Marcin Krajewski served as platoon commander in the 8th Air Defense Regiment. From 2007 to 2011, he served as commander of the assault section of the Military Police Special Unit in Warsaw. From 2011 to 2021, he served as deputy commander of the assault section, commander of the assault section, instructor in the training department, head of the planning section, and officer in the analysis section of the GROM Military Unit. Additionally, Mr. Marcin Krajewski participated in military missions in Afghanistan and Iraq.

Grzegorz Konrad

Member of the Supervisory Board

From 2006 to 2009, Mr. Grzegorz Konrad served as Director at the MGI Akcept Tax Office (where he managed a team of 20 employees). In 2009, he served as an Authorized Signatory at ZE Lamina S.A. (employing approximately 120 people, manufacturing for the Ministry of National Defense) and as Head of the Accounting and Human Resources Department. From 2009 to 2011, he ran his own business. From 2011 to 2013, he was the founder, shareholder, and CEO of Style247.pl S.A. From 2014 to 2018, Mr. Grzegorz Konrad was a shareholder and President of the Management Board of PEROT sp. z o.o. From 2015 to July 2019, he served as President of the Management Board of Super Liquid S.A. (formed through the transformation of Super Liquid sp. z o.o.) From 2017 to 2019, he served as a Member of the Supervisory Board of TELEHORSE sp. z o.o., and is currently a Member of the Management Board of Cannabis Poland S.A. and President of the Management Board of THC PHARMA S.A.

Mr. Grzegorz Konrad does not meet the independence criteria set forth in the Act of May 11, 2017, on Statutory Auditors, Audit Firms, and Public Oversight. Mr. Grzegorz Konrad has ties to a shareholder holding no less than 5% of the total number of votes at the Company’s general meeting.

Roman Rafał Rachalewski

Member of the Supervisory Board

A graduate of the University of Łódź (accounting) and the Warsaw School of Economics – UQAM (MBA), he holds the CFA designation and a certification in bookkeeping services.

Since 2022, he has been working as a financial advisor specializing in SME restructuring and M&A transactions, collaborating with companies such as Mostami Łódź S.A. and the Inter Cars S.A. group on investment projects and acquisitions of foreign companies. He is the founder of the NEOS Stomatologia holding company and Chairman of the Supervisory Board of OZE RAEN S.A.

For 12 years, he worked as an investment manager at the private equity fund EMSA (Emerging Markets Special Assets), overseeing investments in companies such as FAMED S.A., APLAST S.r.l., and WOSANA S.A. From 2003 to 2007, he worked in the consulting industry, where he helped launch two startups. From 1998 to 2000, he gained experience at an international consulting firm, working on projects for companies such as Rafako S.A., Unicom Bols Group (now part of the CEDC Group), and Okocim S.A.

He currently holds positions on the governing bodies of the following companies, among others: Neos Stomatologia sp. z o.o. (Member of the Management Board), Neos Stomatologia Śląsk sp. z o.o. (Chairman of the Management Board), Aneta Clinic sp. z o.o. (President of the Management Board), Grupa Virtus S.A. (President of the Management Board), ZSP Niewiadów sp. z o.o. (Vice President of the Management Board for Finance), and Elaboracja Niewiadów S.A. (Vice President of the Management Board).

He does not engage in any business activities that compete with the Issuer, is not listed in the registry of insolvent debtors, and has not been convicted of any crimes specified by law. In recent years, he participated in the restructuring process of FPT PRIMA S.A. related to the loss of sales markets following the imposition of sanctions on the Russian Federation.

Wojciech Barański

Member of the Supervisory Board

A legal counsel with many years of professional experience, specializing in financial law, M&A transactions (including in the defense sector), and corporate law. Partner at DMS sp. k., responsible for the transactions practice.

He currently holds positions on the governing bodies of the following companies: Longvilliers sp. z o.o. and KW Nieruchomości sp. z o.o. He is also a member of the supervisory board of Fabryka Amunicji Pocisk S.A. In the past, he served on the supervisory boards of MORNDALE INVESTMENTS S.A. and Polimex Mostostal S.A., and also served as president of a private equity fund.

He is a partner in, among others, DeBenedetti Majewski Szcześniak Kancelaria Prawnicza sp.k., DMS sp. z o.o., and KW Nieruchomości sp. z o.o.

He does not engage in any business activities that compete with the Issuer (with the exception of serving on the supervisory board of Fabryka Amunicji Pocisk S.A.), is not listed in the registry of insolvent debtors, and has not been convicted of any crimes specified by law. In recent years, there have been no instances of bankruptcy or restructuring at the entities where he has held positions.

3. Scope of Data Processed

We process your personal data in the following areas:

– first and last name,

– home address,

– identification document number (to the extent required by law),

– other data required by law in connection with the conclusion and execution of transactions,

– information regarding the right to acquire and possess firearms, if required by law.

4. Purposes and Legal Basis for Data Processing

Your personal data is processed for the following purposes:

– to fulfill the sales contract and comply with the documentation requirements related to the sale, including issuing a VAT invoice—pursuant to Article 6(1)(b) and (c) of the GDPR,

– to fulfill the legal obligations incumbent upon the controller, in particular those arising from regulations governing the trade in weapons and ammunition, including record-keeping and reporting obligations – Article 6(1)(c) of the GDPR,

– the transfer of data to the competent authorities, in particular the Police, to the extent and under the conditions set forth in the laws governing the trade in firearms and ammunition – Article 6(1)(c) of the GDPR,

– to fulfill the obligations arising, in particular, from the following provisions:

  • The Act of May 21, 1999, on Weapons and Ammunition (Journal of Laws of 2024, Item 485)

  • Implementing regulations for this Act,

– pursuant to Article 6(1)(c) of the GDPR,

5. Data Recipients

The recipients of your data may include:

– public authorities, in particular the police and other agencies authorized by law,

– entities providing accounting, legal, and IT services to the controller,

– entities that process personal data on behalf of the controller, pursuant to data processing agreements (Article 28 of the GDPR).

6. Data Retention Period

Personal data will be retained for the period required by law, specifically:

– for the duration of the retention period for tax records (generally 5 years),

– for the period specified in the regulations governing the trade in weapons and ammunition,

– until the statute of limitations for claims expires (generally 6 years).

7. Rights of the Data Subject

You have the right to: access your data, have it corrected, restrict its processing, object to its processing (in cases provided for by law), have it erased (in cases provided for by law), transfer your data (to the extent applicable), and file a complaint with the President of the Personal Data Protection Office.

8. Transfer of Data Outside the EEA

Your data is not transferred to third countries (outside the European Economic Area) or to international organizations.

9. Obligation to Provide Information

Providing personal information is mandatory to the extent required by law, particularly laws governing the sale of firearms and ammunition. Failure to provide this information will prevent the transaction from being concluded and completed.

10. Automated Decision-Making

Your data will not be processed automatically, nor will it be subject to profiling.

Personal data is processed in accordance with the principles set forth in Article 5 of the GDPR, in particular the principles of lawfulness, fairness, transparency, and data minimization.
